1. Acceptance of Terms

KÖPPEN ("KÖPPEN," "we," "us," or "our") provides the content, products, and services available on [koppen.com] (the "Site") to you subject to the following terms and conditions, our Privacy Policy, and any other terms, conditions, and policies you may find throughout our Site in connection with certain functionality, features, promotions, subscriptions, or customer service, all of which are deemed a part of and incorporated into these terms and conditions (collectively, "Terms and Conditions" or "Terms").

By accessing or using the Site, creating an account, or placing an order, you acknowledge that you have read, understand, and agree, without limitation or qualification, to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Site.

2. Eligibility

If you are below the age of consent under applicable law in the country in which you reside, then your parent or legal guardian must read and accept these Terms and Conditions in your name and on your behalf.

If you are under 13 years old, you may browse the Site. However, you may not provide personal information to us, make a purchase on the Site, subscribe to recurring deliveries, or register an account on the Site.

You are solely responsible for ensuring that your use of the Site and our products complies with all laws, rules, and regulations applicable to you. If the applicable law in the country in which you reside requires that you must be older than 13 to receive certain services, then the minimum age is the legally required one. If you are a minor, you may wish to consult your parents about what portions of the Site are appropriate for you. The right to access the Site is revoked where these Terms and Conditions or use of the Site is prohibited, or to the extent the offering, sale, or provision of our products conflicts with any applicable law, rule, or regulation.

This Site is not directed to children under 13 years old.

You must be 18 years old or the age of majority in your jurisdiction in order to make a purchase or enroll in a subscription on the Site. If you are under 18 years old or the age of majority in your jurisdiction, then you may not make a purchase or enroll in a subscription on the Site.

3. Account Registration

You may be required to create an account to access certain features of the Site, including subscription management. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at our discretion, including if we believe you have violated these Terms or engaged in fraudulent, abusive, or unlawful activity.

4. Products, Pricing, and Availability

We make every effort to display our products and their ingredients accurately. However, we do not warrant that product descriptions, images, ingredient lists, pricing, or other Site content is accurate, complete, reliable, current, or error-free. Colors and finishes may appear differently on different screens.

All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to modify prices, correct errors, and limit order quantities at any time, including after an order has been submitted. If we identify a pricing error after you have placed an order, we may, at our discretion, contact you for instructions or cancel the order and notify you.

Product availability is not guaranteed. We reserve the right to discontinue any product at any time and to limit the quantity of any product we supply to any person.

5. Orders and Payment

By placing an order, you make an offer to purchase the product(s) at the price stated. We reserve the right to accept or decline your order for any reason, including product unavailability, suspected fraud, or shipping restrictions. Your order is not accepted until we send you an order confirmation email and ship the product.

You agree to provide current, complete, and accurate purchase and account information for all purchases made on the Site. You authorize us (or our third-party payment processor) to charge your selected payment method for the total amount of your order, including taxes and shipping fees.

We reserve the right to refuse or cancel any order at any time for reasons including but not limited to product or service availability, errors in product or pricing information, or problems identified by our credit and fraud avoidance department.

6. Subscriptions and Auto-Renewal

KÖPPEN offers subscription plans that allow you to receive recurring shipments of select products at the cadence you choose at checkout (each, a "Subscription"). By enrolling in a Subscription, you expressly authorize KÖPPEN (or our third-party subscription provider) to automatically charge your selected payment method on a recurring basis until you cancel.

6.1 Subscription Terms You Agree To

When you enroll in a Subscription, you agree to the following, which are also disclosed clearly and conspicuously at checkout before you complete your purchase:

• Recurring charges. Your payment method will be automatically charged the then-current Subscription price (plus applicable taxes and shipping) at the start of each billing cycle, at the frequency you selected (e.g., every 30, 60, or 90 days), until you cancel.
• Subscription length. Your Subscription continues indefinitely until you cancel it. There is no fixed end date.
• Pricing. Your Subscription price at the time of enrollment will apply to each renewal unless we notify you of a price change in advance, as described below.
• Cancellation. You may cancel at any time, for any reason, with no cancellation fee, as described in Section 6.3 below.

6.2 Promotional and Introductory Offers

If your Subscription begins with a promotional price, free trial, free gift, discounted first shipment, or other introductory offer, the offer applies only to your first shipment unless we explicitly state otherwise. After your first shipment, your Subscription will automatically renew at the standard Subscription price disclosed at checkout. Free gifts, bonus items, or discounts associated with first orders do not apply to subscription renewals.

6.3 How to Cancel

You may cancel your Subscription at any time through any of the following methods:

• Logging into your account on the Site and managing your Subscription through the customer portal;

Cancellation takes effect at the end of your next billing cycle. To avoid being charged for an upcoming shipment, you must cancel at least 2 days before your next scheduled renewal date. We do not provide refunds for shipments that have already been processed at the time of cancellation, except as required by law or as described in our Returns Policy.

6.4 Renewal Reminders and Price Changes

Where required by applicable law, we will send you a reminder notice in advance of recurring charges, including the renewal date, the amount to be charged, and instructions on how to cancel.

If we change the price of your Subscription, we will notify you in advance and give you an opportunity to cancel before the new price takes effect. If you do not cancel before the price change takes effect, your continued Subscription constitutes acceptance of the new price.

6.5 California Residents and Other Applicable Jurisdictions

If you are a California resident, you have additional rights under California's Automatic Renewal Law. You may cancel your Subscription online at any time without contacting customer service or following any other steps. You may also cancel by sending us a request at hi@koppen.co. Residents of other jurisdictions with applicable automatic renewal laws have the rights afforded by those laws.

6.6 Failed Payments

If a recurring payment fails, we may attempt to charge your payment method again, update your payment information through account updater services offered by your card network, or contact you to update your payment information. If we are unable to process payment, your Subscription may be paused or canceled.

7. Promotions, Free Gifts, and Discount Codes

From time to time, we may offer promotions, discount codes, free gifts with purchase, bundles, or other special offers. All promotions are subject to the specific terms communicated at the time of the offer and to these general rules:

• Promotions apply only to qualifying first orders unless explicitly stated otherwise.
• Free gifts and discounted items associated with first-order promotions do not apply to subscription renewals.
• Promotions may not be combined with other offers unless explicitly stated.
• We reserve the right to modify, suspend, or terminate any promotion at any time.
• Promotions have no cash value and are non-transferable.
• We reserve the right to refuse or cancel orders that we believe, in our sole discretion, abuse promotional terms.

8. Shipping and Delivery

We ship to addresses within the United States. Shipping costs and estimated delivery times are calculated at checkout and depend on your shipping address and selected shipping method.

Title and risk of loss for products pass to you upon delivery to the carrier. We are not responsible for delays caused by the carrier, weather, customs, or other circumstances outside our reasonable control. For full shipping details, please see our Shipping Policy.

9. Returns and Refunds

We want you to love your KÖPPEN products. If you are not satisfied with your purchase, please refer to our Returns Policy, which is incorporated into these Terms by reference. For health and safety reasons, all products are final sale and are non-returnable.

10. Product Use and Disclaimers

KÖPPEN products are personal care and oral care products intended for cosmetic use as directed on the product packaging and labeling. Our products are not intended to diagnose, treat, cure, or prevent any disease.

You should read all product labels, ingredient lists, and instructions before use. Discontinue use and consult a healthcare professional if you experience any adverse reaction. If you have a medical condition, are pregnant or nursing, or have known allergies or sensitivities, consult your dentist, physician, or other qualified healthcare provider before using our products.

Statements made on the Site about our products have not been evaluated by the U.S. Food and Drug Administration except where expressly indicated.

11. Intellectual Property

All content on the Site, including text, graphics, logos, images, photographs, product designs, packaging, formulas, audio, video, and software (collectively, "Content"), and the trademarks, service marks, trade names, and trade dress (including "KÖPPEN" and associated logos) used on the Site, are owned by or licensed to KÖPPEN and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content for personal, non-commercial purposes. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or otherwise exploit any Content without our prior written consent, except as expressly permitted by these Terms or applicable law.

12. User Content

If you submit, post, or transmit any content to or through the Site (including reviews, comments, photographs, and feedback) ("User Content"), you grant KÖPPEN a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works of your User Content in any media now known or hereafter developed, for any purpose, including marketing and advertising, without compensation to you.

You represent and warrant that you own or have the necessary rights to the User Content you submit, that the User Content does not infringe the rights of any third party, and that the User Content complies with these Terms and applicable law.

13. Prohibited Conduct

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law;
• Attempt to gain unauthorized access to any portion of the Site, other accounts, or our systems;
• Interfere with or disrupt the Site or its servers or networks;
• Use any automated means (including bots, scrapers, or crawlers) to access the Site, except with our prior written consent;
• Reverse engineer, decompile, or disassemble any portion of the Site;
• Upload viruses, malware, or other malicious code;
• Submit false, misleading, or fraudulent information; or
• Resell our products without authorization.

14. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by KÖPPEN. We are not responsible for the content, policies, or practices of any third-party websites or services. Your use of third-party websites and services is at your own risk and subject to the terms and policies of those third parties.

15. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, KÖPPEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

KÖPPEN DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

NO ADVICE OR INFORMATION OBTAINED FROM KÖPPEN OR THROUGH THE SITE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KÖPPEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED THROUGH THE SITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, KÖPPEN'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR PRODUCTS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KÖPPEN IN THE [SIX (6)] MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

17. Indemnification

You agree to defend, indemnify, and hold harmless KÖPPEN, its officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your violation of these Terms, (b) your use of the Site or products, (c) your User Content, or (d) your violation of any rights of another party or any applicable law.

18. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of [California], without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19. Changes to These Terms

Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and KÖPPEN regarding your use of the Site.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms at any time without notice.

Force Majeure. We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, or supply chain disruptions.
